Often not. Under the UAE Corporate Tax Law, a foreign company that is effectively managed and controlled in the UAE is a UAE resident person. If you take the company's key decisions from Dubai, the UAE can tax it like a local company.
Effective management and control
The Federal Tax Authority says this depends on the facts of each case. The main test is where the company's leadership regularly and mostly makes the strategic and policy decisions needed to run the business. If you are the only director and you live and work in Dubai, that place is likely to be here. Where the company is registered, or where its bank account is held, does not change this on its own.
Permanent establishment risk
Even if the company is not resident, it can have a permanent establishment in the UAE. Under the law this arises through:
- A fixed place of business, such as a place of management, branch or office.
- A dependent agent who habitually concludes or negotiates contracts for it.
Purely preparatory or auxiliary activities do not count. Profits linked to a permanent establishment are taxable in the UAE. See What is a permanent establishment, and could my business have one abroad?
The other country
The country where the company is registered may still treat it as its own resident. If both countries claim it, any treaty between them decides, as explained in Where is my company taxed if I run it from another country?
An example
Mariana is a Brazilian consultant who moves to Dubai and keeps her company registered abroad. She is its only director and approves every contract from her Dubai flat. The company is likely managed and controlled in the UAE, so it needs to register for UAE corporate tax. Its country of registration may also go on claiming it.
Quick questions
Does holding board meetings abroad fix it?
Only if the real decisions are made there. Meetings that approve what was already decided in Dubai carry little weight.
How is a UAE-resident foreign company taxed?
As a resident under the same rules, which set 0% on taxable income up to a threshold and 9% above it, subject to any reliefs.
