Your company may become resident in the UAE for corporate tax, because UAE law treats a foreign company effectively managed and controlled here as resident. The country it leaves may tax it on the way out or keep treating it as its own. Plan both sides before the first board meeting in Dubai.
In the UAE
- The company becomes a taxable person and must register with the Federal Tax Authority for a tax registration number.
- The FTA can register a company from the date it became taxable, so late registration does not move that date.
- Its profits are taxed under the same rules as a UAE company.
In the country it leaves
Some countries tax a company's unrealised gains when it stops being resident there. Others keep treating a company incorporated there as resident wherever it is managed. Check this before the move.
When both countries claim it
Many treaties now leave a dual-resident company's residence to agreement between the two tax authorities. Some older treaties still use the place of effective management. Where agreement is needed, the company has to apply, and treaty relief may be limited until the authorities decide.
Board practice after the move
- Directors who take the key decisions live in Dubai or attend meetings here.
- Meetings involve real discussion, with papers and minutes kept.
- Contracts, banking and major spending are approved from the UAE.

An example
Ananya moves to Dubai with her two fellow directors and their software company. They hold board meetings in Dubai and register with the FTA. Before the move they checked whether the company's home country would tax it on leaving, and whether the treaty needs the two authorities to agree its residence.
Quick questions
Can some directors stay abroad?
Yes, but the decisions that count need to be made in the UAE. Directors abroad who take key decisions where they live can pull residence back there.
Does the company need to re-register in the UAE?
It needs to register for corporate tax. Moving management does not by itself change where the company is incorporated.
