What does substance actually mean for my company?

Substance means your company really operates where it says it is based. It has people who do the work, premises they use, decisions made there by its directors, and activity that matches its income. Tax authorities look at it for residence, treaty claims and low-tax regimes.

The four parts

  • People. Staff or directors with the skills to do what the company does.
  • Premises. An office or other place the company actually uses.
  • Decisions. Key decisions taken in that country by the people with authority to take them.
  • Activity. Real work there that earns the company's income.

The level needed depends on what the company does. A holding company needs less than a trading business, but it still needs directors who understand its investments and take its decisions where it is based.

Why it matters

  • Residence. A company run from somewhere else may be claimed as resident there. See Where is my company taxed if I run it from another country?
  • Treaties. Countries paying dividends or interest to your company may refuse treaty relief if it looks like a letterbox.
  • Low-tax regimes. Many low-tax jurisdictions have their own substance rules, requiring certain activities to be carried on locally.

The UAE position

The UAE's economic substance reporting requirements no longer apply for financial years ending after 31 December 2022, following Cabinet Decision No. 98 of 2024. Companies remain responsible for earlier years. Substance still matters in practice. Under corporate tax, a company's residence follows where it is effectively managed and controlled, and treaty partners and banks still ask for evidence.

An example

Ngozi is Nigerian and lives in Dubai. Her Dubai holding company has a small office, a part-time finance manager and board meetings held in Dubai with proper minutes. When a subsidiary's country asks for proof before reducing tax on a dividend, she can show a UAE tax residence certificate and the facts behind it.

Quick questions

Is a registered address enough?

Rarely. A registered address or a desk nobody uses does little to show that the company is run from that place.

Do I still need substance in the UAE now the economic substance reports have gone?

In practice, yes. It supports UAE residence for corporate tax and any treaty claims, even without a separate report.
